AN ORDINANCE AUTHORIZING TAE MAYOR TO ENTER INTO A CONTRACT
FOR SERVICES WITH THE MISSOURI DEPARTMENT OF NATURAL RESOURCES.
BE IT ORDAINED BY 'THE BOARD OF ALDERMAN OF THE CITY OF RIVERSIDE,
MISSOURI, AS FOLLOWS:
SECTION 1. That the Mayor be authorized to enter into a contract with the
Missouri Department of Natural Services to establish seven
horizontal control stations as part of the Horizontal Control
Survey Network.
SECTION 2. The maximum contract fee shall not exceed $6,459.00.

THIS AGREEMENT entered into this `~ ~ day of_ ~ ~'~ ' ~ ~ - ,
between the CITY of RIVERSIDE hereinafter called the City and THE DEPARTMENT OF
NATURAL RESOURCES (hereinafter called the "Department").
WITNESSETH THAT:
WHEREAS, the City desires to engage the Department to render certain services
hereafter described in connection with expanding the Horizontal Control Survey Network
to facilitate and encourage the use of the State Coordinate System in land surveying.
NOW, THEREFORE, the parties hereto do mutually agree as follows:
1. Employment of Department. The City hereby agrees to engage the Department
and the Department hereby agrees to perform the service hereinafter set forth in
connection with the City of Riverside Geographic Reference System.
2. Scope of Service. The Department shall design, perform and carry out in a
satisfactory and proper manner the services as are specified by this contract and
included in Appendix I, which is appended hereto and made a part of this contract. In
performing the services specified by this contract, the Department shall follow generally
accepted geodetic surveying practices consistent with the highest professional and
technical standards.
The network design diagram will be prepared by the Department in cooperation
with representatives of the participants in the City of Riverside Geographic Reference
System. The field survey work will be performed by a surveyor and other personnel from
the Department of Natural Resources. The final network diagram, station descriptions,
and calculations will be made by a surveyor and other personnel from the Department.

3. Personnel.
A. The Department represents that it may subcontract with a surveyor to
perform part of the services of this contract in the field survey area. The
subcontract with the surveyor will be on the basis of demonstrated
competence and qualification for the type of service required and at fair and
reasonable prices. When selecting the surveyor, the Department will follow
the procedure outlined in the Department of Natural Resources' Policy for
Procurement of Land Surveying Services, Revised December, 1985.
B. All of the services required hereunder will be performed by Department
personnel or under their supervision and all personnel engaged in the work
shall be fully qualified and shall be authorized or permitted under state and
local laws to perform such services.
4. Time of Performance. The services of the Department are to commence on
March 01, 2001 and be completed on or before March 30, 2002.
5. Compensation and Method of Payment. The City will pay the Department the
sum of 6459.00 which will constitute full and complete compensation for the
Department's services hereunder. The compensation and exact method of payment, and
procedures relating hereto, are outlined in detail in Appendix II, which is appended
hereto and made a part of this contract.
6. Termination of Contract Cause. If for any cause, the Department cannot fulfill
its obligation under this contract, or if the City cannot for any cause fulfill its obligations,
this contract may be terminated. Written notice of intent to terminate shall be given
without delay. The City agrees to pay for all work performed pursuant to the contract
prior to Department's receipt of written notice.
7. Changes. The City may, from time to time, require changes in the scope of
services and the time of performance hereunder by the Department. Such cl~ianges,
including any increase or decrease in the amount of the Department's compensation,
which are mutually agreed upon by and between the City and the Department, shall be
incorporated in written amendments to this contract.

8. Equal Employment Opportunity. In the carrying out of the Project, the
Department will not discriminate against any employee or applicant for employment
because of race, color, religion, sex, or national origin. The Department will take
affirmative action to ensure that applicants are employed, and that employees are treated
during employment, without regard to their race, color, religion, sex, or national origin.
Such action shall include, but not be limited to, the following: Employment, upgrading,
demotion, or transfer; recruitment or recruitment advertising; layoff or termination; rates
of pay or other forms of compensation; and selection of training, including
apprenticeship. The Department will, in all solicitations or advertisements for employees
placed by or on behalf of the Department, state that all qualified applicants will receive
consideration for employment without regard to race, color, religion, sex or national
origin. The Department shall insert a similar provision in all subcontracts for services
covered by this contract.
9. Interest of Members of The City. No officer, member, or employee of the City
and no member of its governing body, and no other public official of the governing body
of the locality or localities in which the project is situated or being carried out who
exercises any functions or responsibilities in the review or approval of the undertaking
or carrying out of this project, shall (a) participate in any decision relating to this contract
which affects his personal interest or the interest of any corporation, partnership, or
association in which he is, directly or indirectly, interested; or (b) have any interest,
direct or indirect, in this contract or the proceeds thereof.
10. Interest of the Department. The Department covenants that it presently has no
interest and shall not acquire any interest, direct or indirect, which would conflict in any
manner or degree with the performance of services required to be performed under said
contract. The Department further covenants that in the performance of this contract no
person having any such interest shall be employed.
11. Disputes and Disagreements. The Department and the City agree to use
arbitration after exhausting applicable administrative reviews, to resolve disputes arising
out of this agreement related to the performance of services under this agreement or any
other matter connected with said services.

12. Governing Law. This contract shall be interpreted under and governed by the
laws of the State of Missouri.

APPENDIX I
CONTRACT FOR SERVICES
BY AND BETWEEN

AND
MISSOURI DEPARTMENT OF NATURAL RESOURCES

SCOPE OF SERVICES.
(1) The Department will establish 7 horizontal control stations of at least 1st
order quality as defined by the First and Second Order Control Standards of
the Missouri Department of Natural Resources' 10 CSR 30-4.010 to 4.060.
Each station shall consist of a main station and an azimuth mark.
The field survey area for this contract is as shown on the preliminary control
network diagram for the City of Riverside Geographic Reference System
Project and made a part of this contract.
(2) The Department shall prepare a final report giving control station
descriptions, reference data, coordinate values and azimuth to azimuth mark
for each station. All coordinates will be based upon the Missouri Coordinate

System of 1983, fast Zone.
(3) The Department will provide the City with three (3) copies of the final report.

APPENDIX II
CONTRACT FOR SERVICES

COMPENSATION AND METHOD OF PAYMENT.
A. The City hereby agrees to pay to the Missouri Department of Natural Resources
referred to in the body of this contract as the "Department" the sum of 6459.00
which shall constitute full and complete compensation for the Department's
services as specified in Appendix I.
B. It is hereby agreed that the City will pay to the Department the amount agreed to
in "A" above according to the following schedule:
1) Completion of network design diagram 20%
2) Completion of GPS observations
30%
3) Completion of GPS azimuth determinations 20%
4) Completion of network computations, 30%
station descriptions and final survey reports
