HomeMy WebLinkAbout2001-063 - Contract with Bucher, Willis, Ratliff CorpBILL NO. 2001-63 ORDINANCE NO. 2001- ~ j AN ORDINANCE AUTHORIZING THE MAYOR TO ENTER INTO A CONTRACT WITH BUCHER, WILLIS, RATLIFF, KANSAS CITY, MISSOURI, FOR CONSULTANT SERVICES FOR THE BELL TOWER AT THE E.H. YOUNG RNERFRONT PARK, RIVERSIDE, MISSOURI. BE IT ORDAINED BY THE BOARD OF ALDERMEN FOR THE CITY OF RIVERSIDE, MISSOURI AS FOLLOWS: SECTION 1. The Mayor is hereby authorized to enter into a conCract with Bucher, Willis, Ratliff Corporation, Kansas City, Missouri, for consultant Services for the Bell Tower at the E.H. Young Riverfront Park, Riverside, Missouri. SECTION 2. The City shall compensate the Consultant on an hourly basis not to exceed $1,850.00 for performing the Scope of Services in Article I. SECTION 3. This work shall be accomplished by July 15, 2001. PASSED THIS 19~" DAY OF JUNE, 2001. WITNESSE"I'H: WHEREAS, the City of Riverside requires construction management experience; and WHEREAS. Bucher, Willis & Ratliff Corporation has considerable related experience in this regard; and NOW, TI~IEREFORE, in consideration of these promises and the mutual covenants herein contained, the parties hereto agree as follows: ARTICLE I Scope of Services BWR will accomplish the following: 1. Distribute six sets of existing plans and specifications to contractors and plan houses. 2. Answer contractor questions. 3. Attend pre-construction conference. 4. Attend bid opening meeting. 5. Review bids to help determine lowest and most responsible bidder. 6. Prepare a recommendation for a~~~ard oC bid. 7. Write a letter of -`notice to proceed" for the selected contractor. ARTICLE II TIMELINE This work will he accomplished by July 15, 2001. ARTICLE III FEE The City shall compensate the Consultant on an hourly basis not to exceed one thousand eight hundred fifty dollars ($1,850.00) for performing the Scope of Services in Article I. "fhe City shall be responsible for costs of all mailings, printing, invitations, announcements, facility rental and audio-visual needs. Compensation shall be paid monthly based on the percentage of services completed. The City shall make payment within thirty (30) days of the date of the statement. ~,.,~,~ ,aatF~ie~<<~,,~~~,~~, "Chc Consultant is not obligated to indemnify the City in any manner whatsoever for the City's own negligence. Termination: "Phis Agreement may be terminated by either party upon fourteen (14) days written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof through no fault of the terminating party; provided, however, that in any such case, the Consultant shall be paid the reasonable value of the services rendered up to the time of termination on the basis of the payment provisions of this Agreement Copies of all completed or partially completed reports, maps, designs and plans prepared under this Agreement shall be delivered to the City when and if this Agreement is terminated. Controlling Law: This Agreement is to be governed by [he laws for the State of Missouri. Severability: Any provision or part of the Agreement held to be void or unenforceable under any law or regulation shall be deemed stricken and all remaining provisions shall continue to be valid and binding upon the City and the Consultant, who agree that the Agreement shall be reformed to replace such stricken provision or part thereof with a valid and enforceable provision that comes as close as possible to expressing the intention of the stricken provision. Notices: Any notice required under this Agreement will be in writing, addressed to the appropriate pm-ty at the address which appears on the signature page to this Agreement (as modified in writing from time to time by such party) and given personally, by registered or certified mail, return receipt requested, by facsimile or by a nationally recognized overnight courier service. All notices shall be effective upon the date of receipt. Successors and Assigns: The City and Consultant each is hereby bound and the partners, successors, executors, administrators, legal representatives and assigns of City and Consultant are hereby bound to the other party to this Agreement and to the successors, executors, administrators, legal representatives and assigns of such other patty in respect of all covenants and obligations of this Agreement. Neither the City nor the Consultant may assign, sublet, or transfer any rights under or interest (including, but without limitation, moneys that are due or may become due) in this Agreement without the written consent of the other, except to the extent that any assignment, subletting or transfer is mandated by law or the effect of this limitation may he restricted by law. Unless specifically stated to the contrary in any written consent to an assignment, no assignment will release or discharge the assignor from any duty or responsibility under this Agreement. IN WITNESS WHEREOF, said parties have caused this Agreement to be signed by their duly authorized officers in two (2) counterparts, each of which shall be deemed an original, on the day and year first above written.
