Resolution No. R - 2010-035 A RESOLUTION AUTHORIZING THE CITY OF RIVERSIDE TO ENTER INTO A SERVICES AGREEMENT WITH AND PAY CERTAIN FUNDS TO NORTHLAND SYMPHONY ORCHESTRA WHEREAS, Northland Symphony Orchestra ("Service Provider") is a not-for-profit corporation providing services, including certain health, emergency and safety services ("Services"), to residents of the Kansas City region, including the City of Riverside (the "City"); and WHEREAS, Service Provider desires to continue to provide such Services and requires funding to continue to provide the Services within the City; and WHEREAS, the City finds that the provision of the Services is a public purpose and the City has the capability and desire to assist Service Provider in continuing to provide Services to the public within the City; and WHEREAS, the City's Board of Aldermen believes that the City's best interests are promoted and aided by entering into an ag reement with the Service Provider for the provision of the Services; and WHEREAS, The City and the Service Provider have negotiated and agreed upon an agreement for the Service and payment for the same; NOW, THEREFORE, BE IT RESOLVED, by the Board of Aldermen of Riverside, Missouri, as follows: THAT the City finds that the provision of the Services contributes to the welfare of the City as well as the economic and social potential of the City and its residents, that the Services are important to the welfare of the City and that the provision of funds to assist in providing such Services are for a public purpose; FURTHER THAT the City of Riverside shall pay to the Service Provider the sum of Two Thousand and 00/100 Dollars ($2,000.00) to assist it in continuing to provide services to the residents of the City and the City, pursuant to a Services Agreement, in substantially the form attached as Exhibit A, which is hereby approved; FURTHER THAT the Mayor is authorized and directed to execute the Services Agreement in substantially the same form as set forth in Exhibit A attached hereto. The Mayor and city staff are authorized and directed to perform all acts and execute any other documents necessary or desirable to effectuate the intent of this Resolution. In advance of the budget presentation, staff mails letters to all organizations which were funded in the prior year to determine if funding is requested for the upcoming year. The Northland Symphony Orchestra had been funded in 2005, 2007 and 2008 at the sum of $2,000 each year. A letter was mailed to Northland Symphony Orchestra to determine their interest for the upcoming year and a request was received to provide funding in the amount of $2000 during FY2010- 2011. Northland Symphony Orchestra was not listed on with the service organizations set forth in the budget material; however, the FY2010-2011 budget contains a line item of $8,500 for "Other Civic Commitments". If the Board approves funding for Northland Symphony Orchestra, the funding will come from the "Other Civic Commitments" allocation. RECOMMENDATION: none SERVICES AGREEMENT THIS SERVICES AGREEMENT entered into on this ~ day of , 2010, by and between the CITY OF RIVERSIDE, MISSOURI ("City"), and NORTHLAND SYMP NY ORCHESTRA ASSOCIATION, INC.("Service Provider"). WHEREAS, Service Provider is a Missouri not-for-profit corporation providing counseling and educational services ("Services") for citizens in the region, including the City; and WHEREAS, the City desires that such Services be available to its residents, desires Service Provider to provide such Services, and desires to provide funding to assist Service Provider in providing for the Services for the City's residents; and WHEREAS, the City has found that the provision of the Services contributes to the welfare of the City as well as the economic and social potential of the City and its residents, that the Services are important to the welfare of the City and that the provision of funds to assist in providing such Services are for a public purpose. IN CONSIDERATION of the mutual covenants and agreements set forth herein, the parties agree to the following: 1. That Service Provider shall provide the Services for the City pursuant to the terms of this Service Agreement for a term of one year commencing on July 1, 2010 and ended June 30, 2011. 2. That the City shall pay to Service Provider the Sum of $2,000. 3. That the Services provided by the Service Provider shall include, but not be limited to, offering professional, community and student musicians an opportunity to perform fine orchestral music and free public concerts in the City and surrounding community. 4. Service Provider will provide the City with a copy of Service Provider's annual budget with a brief summary of the accounting controls used. Further, expenditure reports are required on a monthly or quarterly basis and a final expenditure report is required within 90 days after the monies are spent.
