HomeMy WebLinkAbout1997-049 - Increase in Engineering Fees for TransystemsBILL NO. 97-49 ORDINANCE NO. 97- 49 AN ORDINANCE AUTHORIZING THE INCREASE OF ENGINEERING FEES FOR TRANSSYSTEMS TO INCLUDE DESIGN WORK FOR THE HIGH DRIVE EXTENSION AND SETTING A FEE FOR THIS WORK. WHEREAS: TransSystems, Inc. has previously been awarded a contract to provide engineering services for a street improvement project located on High Drive in the amount of $84,693.60 and, WHEREAS: The Board of Aldermen has determined a need to increase the scope of the project by building an extension to High Drive NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF ALDERMEN OF THE CITY OF RIVERSIDE, MISSOURI, AS FOLLOWS: SECTION 1: The Mayor is hereby authorized to sign an amendment to the engineering fees for TransSystems for services to design and construct the High Drive extension in the amount of $ 84,693.60. Winner, P.E. ("En~eer"). Rrg~'RF„~s,S, City wishes to Inter into an agreement with EuQineer to obtain froth Engineer, as an independent contractor, certain services described in City's City Engineer lob pesctiption ("Job Description") dated ~iay 1, 19u7: and ~TFRE~IS Engineer has represented to Ciry that he has the Desired Iviittitttuut Qualifications and meets the Special Requirements 'set fo; ~h m the Job Description; and W`kiEREAS, Engineer wishes to enter into an agreement with City to provide to City, as an independent contractor, certain services described in the Job Description; ~0~; -~~~,gp~„ in consideration of the following mutual promises and other undertakings. IT JS AGREED by City and Engineer as follows: l Engineer shall, in consultation with and under the general supervision of the City rldmitustratar, perform for City both la) the Essential Duties and Responsibilities and (b} the Peripheral Duties (together, "City Engineering Services") set forth in the Job Description, ? For satisfactory perfonnan~=z of City Engineet'1ng Services, City shall pay Engineer ~a55 per hour, plus $.30 per mile for travel by Engineer to and from his home in Raytown, kVLissouri, and for other travel by Engineer in cotutection with perfontting City Engineering Services. 3, kn addition to City Engineering Services, City may from time to time request Engineer to perfot~n Resident Engineering Services on specific projects. Resident Engin~rhtg Services shall consist generally of representing City's interests in connection with project construction. including, but not necessarily Limited to, inspecting work to determine compliance with contract documents and construction schedules; Facilitating communication between City and contractors, architects, construction managers, and other project participants; and reviewing and acting upon contractor submittals, payment requests, and change order requests. FUr satisfactory performance of Resident Engineering Services, City shall pay Engineer as follows, :l. Engineer shall. invoice City montlily for City Engineering Services and Resident 1/ngirieering Services, if any. Engineer's urvoces shall be submitted to the City Administrator and shall describe services performed in such forniat and detail as the City administrator may require. City shall pay proper invoices within 30 days'. 5. Engineer shall maintain, at Engiueer's e:cpense. ~uch insurance coverages c«' F-" (including, but not necessarily limited to, '•prv=c~sivis°i.~~-1~4vluty and automobile liability) and limits as City and >rngineer may from time to tithe agr~ on. Engineer shall submit to the City Adrnittistrator such proof of coverages and limits as the City Administrator may from time to tune require. ti. Engineer shall exercise high professional skill, care, and diligence iu the perfomlance of Ciry Engineering Services and Resident Engineering Services and shall carry out his responsibilities in accordance with customarily accepted good professional en,ineering practices. 7. Engineer warrants that he has not employed or retained any company or person to solicit or secure this agreement artd that lie has not paid or agreed to pay any company or person any' fee, cotnmissiou, percentage, brokerage fee, gift, or any other consideration contingent upon or resulting from the award or making of this agreement. $. Engineer acknowledges that he is an independent contractor and shall not be deemed an employee or agent of City for any purpose. -2- 9. This agreement shall be governed by and construed in accordance with the laws of the State of Missouri. 10. This agreement is for no defutite period and may be terminated at any time, without any reason being given, by either party giving to the other at least 30 days' notice in writing. THIS AGREEMENT shall be binding on City and Engineer only after it has been duly approved and executed by City and Engineer.
