WHERBAS, the Commission was created pursuant to Ordinance No. 95-64, adopted by
t6e Board of Aldeimen of Riverside, Missouri (We "Board of Aldermen") on September 12,
1995;
WFIEREP.S, the Real Property Tax Increment Allocation Redevelopment Act, Sections
99.800 to 99.865 of the Revised Statutes of Missouri, 1986, as amended (the "Act"), requires
the Commission to:. (a) hold hearings with respect to proposed redevelopment areas,
redevelopment plans and redevelopment projects; (b) vote on the appmval of the same; and (c)
make its recommendations on the same to the Board of Aldern►en;
WFIBREAS, the Commissipn, by ResoluUon No. 96-06-01, passed on June 27, 1996,
classified the Redevelopment Area (as defined in the Plan) as a"blighted anea" and designated
it as a mdevelopment area under the Act; appmved the Plan, the Redevelopment Project I and
We Redevelopment Projxt I Area; ad+opted tax increment financing for the Redevelopment
t Pc,�jecc I Area; and exptessed its recommendation to the Board of Aldermen wiW respect to the
same; and
WI�2BAS, the Board of Aldermen, by Ordinance No. 96-72, passed on July 16, 1996,
classified the Redevelopment Aiea as a"blightal area" and designated it as a iedevelopment area
under the Act; approved the Plan, the Redevelopment Projed I and the Redevelapment Project
I Area; and adapte� tax incnanent finadcing for the Redevelopment Projact I Area; wlrich
designation pmvides for the approval of individual projects on a pmject-by-pmject basis; and
WHERBAS, the Commission received and reviewed a Tax •Inciement Financing
� Application from Riverside Development Company, L.L.C. �+egazding the conshuction of two
office/watehouso buildings (tLe "Redevelopment Project I-Phase D") within the Redevelapmenf
Area, and on a uact of property more particularly described on adached ' it (the
"Redevelopment Project I-Phase D Arra") (a copy of the Application "is attached as Fxhibit $l;
and
WFIEREAS, the Commission, by Resolution No. 97-01-04, passed on 7anuary 15, 1997,
maffirmed the classified of the Redevelopment Pmject I-Phase D Area as a"blighted area" and
its designation as a redevelopment area under t6e Act; approved t6e Redevelopment Project I-
Phase D and the Redevelopment Project I-Phase D Area; ad� tax increment financing for
the Redevelopment Project I-Phase D Area; and expressed its recommendation to the Board of.

NOW, 'TFFiERRfiFORE, be it ordained by the Board of Aldermen of Riverside, Missouri:
� S�' g.�;, The recommendations of the Commission sex forth in its Resolution No. 97-
01-04 are hereby accepted.
. Section 2• The Boazd of Aldermen finds that:
a. We existing coaditions of the Redevelopment Projed I-Phase. D Area, as .
described in �, are a fair depiction of the Redevelopment Project
. I-Phase D Area and cause the Redevelopment Project I-Phase D Area to
be a"blighte� area" as defined in the Acr,
b. the Redevelopment Project I-Phase D Area has not beEn subject to gmwth
and development through investment by private entetprise and would not
reasonably be anticipated to be developed without the adopHon of the
Plan;
c. the Plan, as amended, conforms to the comprehensive plan for
development of th� City of Riverside, Missouri as a whole;
d. the estimated dates, which shall not be moce than 23 yeais from the
adoption of the respective ordinances approving the Redevelopment
. Projeets, of completion of the Redevelopment Projects and rexirement of
obligations incurnd to finance redevelapment project costs ha9e been
_ � statai in the Plan; and
e. there are curnenfly no businesses or residences wiUun the Redevelopment
Project I-Phase D Anea.
Sectioe 3• The Boaid of Aldermen approves the designation of the Redevelopment
� Projax I-Phase D Ane�a as a iedevelopment project area under the Acx.

Sxdon 5• The Board of Aldetmen app�+oves aad designatae the Redevelopmeot Project
� I-P4ase D and tLe RedeVelopaieot P[ojed I-PLase D Area as a redevelopment projed and
mdevelopmem projoct area, re�ec�vely, under the Act.
Searoe 6• The Board of Aldermen adopts tax incremem financing for the Redevelopment .
Project I-Phase D Area aad provides that:
(i) after the totaT equalized assessed valuation of the tazable real property in the
Ralevelapment Projact I-P6ase D Area excee�s the certified total initial equgiized
assessed valuation of the taxable real property in such Redevelopment Projxt I-
Phase D Area, the ad valorem taxes and payments ia lieu of faxes, if any, arisinB
from the levies upon taxable real property in such Redevelopment Projxt I-Phase

D. Ama by taxing districts and ta�c cates determined in the mann�r provided in
su�section 2 of the Section 99,855 of the Act each year after the effective date
ofthis ordinance until the Redevelopment Project Costs pursuant to the Plan 6ave
' been paid, shall be divided as follows:
(a) . That portion of taxes levied upon each taxable lot, block, uact, or parcel
of real properly wluch is attributable to the initial equalized assessed value
of each such taxable lot, block, tract, or parcel of real property in the
Redevelopmeat Project I-Phase D Ama shall be allocated to, and when.
collected shall be paid by the county collector to, the respective affected
taxing districts in the manner requi�ed by law in the absence of the
adoption of tax increment allocadon financing;
(b) Payments in lieu of taxes attributable to the incmase in the current .
equaliz,ed assessed valuation of each taxable lot, block, tract, or parcel of
real property in the Redevelopment Project I-Phase D Area over and
above the initial equalized assessed value of each such unit of property in
the Redevelopment Project I-Phase D Area shaYl be allocated to, and when
collected shall be paid to, the municipal treasurer who shall deposit such
payment ict lieu of taxes into a special fuud called the "Special Allocation
Fund" of We municipality for the putgose of paying redevelopment costs
and obligations incurred in the payment thereof. Payments in lieu of taxes .
wlrich are due and owing shall constitute a lien against the real estace of
the zedevelopment project from wtuch they are derived. The municipality

the payment of such costs and obligations and provide for the collection
of payments in lieu of taxes, the lien of which may be foreclosed in the
same manner as a special assessment lien as pmvided in Secdon 88.861
