A RESOLUTION AUTHORIZING THE GRANTING OF A PERMANENT UTILITY
EASEMENT FOR THE TRANSMISSION AND DISTRIBUTION OF ELECTRIC ENERGY TO
KANSAS CITY POWER & LIGHT COMPANY AND AUTHORIZING THE EXECUTION AND
DELIVERY OF DOCUMENTS AND ACTIONS RELATING THERETO
WHEREAS, the City owns certain property ("Property") located north of 9 Highway
and east of Northwood Road in Riverside; and
WHEREAS, Kansas City Power & Light Company has requested a permanent
easement to provide new electrical service to the property located at 4590 NW Northwood
Road in order to enable the property owner to construct certain improvements thereon; and
WHEREAS, the Board of Aldermen find it is in the best interest of the City to convey said
easement to Kansas City Power & Light in substantially the same form as set forth in Exhibit "A";
NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF ALDERMEN OF THE
CITY OF RIVERSIDE, MISSOURI, AS FOLLOWS:
THAT the Mayor is hereby authorized to execute and deliver the Easement
Conveyance by and between Kansas City Power & Light Company and the City of Riverside,
Missouri in substantially the same form as attached hereto as Exhibit "A" and the City Clerk is
authorized to attest thereto, and the performance of all actions related thereto are approved,
authorized and directed I
FURTHER THAT the Mayor and City Clerk are hereby authorized to execute such
documents and take such actions as are necessary or desirable to effectuate the intent of this
Resolution;

RE: KCPL Easement Grant
BACKGROUND: KCPL is providing power to Irene Pauhle's property located between
Northwood Road and the Park Hill South High School. KCPL has requested an
easement on City property to provide this power. The power line will be
underground along the Park Hill South entrance from Northwood Road to the
entrance of the Pauhle property.
RECOMMENDATION: Staff recommends approval of the resolution to provide this easement to KCPL.

and by RIVERSIDE ASSOCIATES, LLC, a limited liability company in the State of Missouri,
having an address of 104 Armour Road, North Kansas City, MO 64116 ("GRANTOR"), to the
CITY OF RIVERSIDE, MISSOURI, a fourth class city and political subdivision of the State of . .
Missouri, having an address of 2950 N.W. Vivion Road, Riverside, Missouri 64150, its successors
and assigns, ("GRANTEE").
WTTNESSETH, that the Grantor, in consideration of the sum of Ten Dollars ($10.00), and
other good and valuable consideration to it paid by the Grantee, the receipt and sufficiency of
which hereby acknowledged, does by these presents grant, bargain, sell, convey, and confirm unto
said Grantee, its successors and assigns, a Utility Easement over, along, across, through and under
the lands hereinafter described, including the right and privilege at any time and from time to time
to enter upon said easement to survey, lay, construct, install,patrol, operate,maintain, inspect, alter,
repair, rebuild, replace and remove utilities (including, but not limited to: sanitary sewer, water,
telecommunications, fiber optic, electric, gas, telephone, and cable tv) and all necessary
appurtenances thereto (the "Improvements") together with the right of ingress and egress to and
from said Utility Easement over the lands of Grantor so that Grantee may go to and from said
Improvements from the public roads adjacent to Grantors lands,to wit:

herein by reference, subject,however, to existing
easements for public roads and highways, public utilities, co
railroads and pipelines.
GRANTEE, its successors and assigns, shall have the right of ownership,use and control of
all of the Improvements through the above described property and for all proper purposes connected
with the installation, construction, patrolling, inspection, reconstruction, alteration, use,
maintenance, operation,repair,replacement and removal of the Improvements. CD
GRANTOR agrees not to obstruct or interfere with the installation, construction,patrolling,
inspection, reconstruction, alteration, use, maintenance, operation, repair, replacement and removal
of the Improvements and to not erect or cause or allow to be erected, any building or structure other
than fences on said easement.
GRANTOR further states that it is lawfully seized of title to the land through which said
easement is granted and that it has good and lawful right to convey said easement to the Grantee
herein.
GRANTEE shall restore the ground insofar as practicable to its original condition, after
laying of said utilities, or any subsequent maintenance or repair operations. Grantee further agrees
that any trees, shrubbery, fences, or growing crops damaged during laying or maintenance
operations, will be restored to original condition insofar as practicable. Provided that, Grantee is

given the right to trim, cut and clear away any trees, limbs and brush on or adjacent to the above-
described easement whenever, in its judgment, such will interfere with or endanger the
construction, operation or maintenance of said utilities. In exercising its rights of ingress or
egress Grantee shall, whenever practicable, use existing roads or lands and shall repair any
damage caused by its use thereof. All logs, limbs, or brush cut or trimmed by Grantee shall be
removed by Grantee unless Grantor otherwise requests.
THIS GRANT and easement shall, at all times be deemed to be and shall be, a continuing
covenant running with the land and shall be binding upon the successors and assigns of the
Grantor.
TO HAVE AND HOLD SAME, together with all appurtenances and immunities thereunto
belonging or in any way appertaining, unto the City of Riverside, and to its successors and assigns
forever.

THIS ASSIGNMENT, made and entered into this 2nd day of November, 2010, by and
between The City of Riverside, Missouri "ASSIGNOR" and Kansas City Power& Light

and its and their affiliates, lessees, licensees, designees, successors and assigns, of Jackson
County, Missouri "ASSIGNEE".

KNOW ALL MEN BY THESE PRESENTS: That the undersigned, Assignor, in
consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration, the
receipt of which is hereby acknowledged, hereby assigns to Assignee, in the manner provided
and for the purposes stated therein, the rights granted to Assignor as grantee, in the instrument
recorded in Book 1164 at Page 940 as Instrument number 2010013525, in the Office of the
Recorder of Deeds, Platte County, Missouri.
ASSIGNEE acknowledges Assignor may further assign the rights granted in the above-
described instrument to other utility providers and that Assignee is not receiving the exclusive
right to use the previously granted easement area, provided however that no such later installed
utility facilities shall endanger or unreasonably interfere with Assignees installed facilities.
ASSIGNOR acknowledges and agrees that in the event Assignee ever receives a
request to relocate its facilities installed within the previously granted easement area and such
request is primarily for the benefit of a private party or business entity, such private party or entity
shall bear the costs of such requested relocation.
IN TESTIMONY WHEREOF, Assignor has hereunto executed this Easement on the date
first above written.
